Director Spotlight: Trevor Pogroske: Governance in Action – From Restructuring Expert to Purpose-Driven Board Leader

With a board career spanning aged care, education, trade finance, and professional services, Trevor Pogroske brings uncommon clarity, courage, and composure to every boardroom he enters.

As a trusted advisor and Non-Executive Director, Trevor draws on over 35 years of experience in insolvency, restructuring, and financial governance. He has served on high-performing boards, acted in fiduciary roles across sectors, and guided organisations through times of reform, risk, and renewal.

We caught up with Trevor to explore the philosophies, lessons, and legacy shaping his board contributions today.


🧭 BOARDROOM LEADERSHIP & GOVERNANCE

What is your core philosophy on effective governance? “Governance starts with active listening, transparency, and integrity. I believe directors should contribute with humility, not dictate. Decisions must be grounded in expert advice, a strong ethical compass, and robust boardroom dialogue. Culture matters. Boards thrive when respect, openness, and evidence-based thinking are embedded.”

What distinguishes a high-performing board in today’s climate? “High-performing boards are comprised of experienced, values-driven individuals who genuinely care about the mission. When directors collaborate, challenge constructively, and enjoy the journey, not just the outcome, you unlock strategic potential.”

How do you approach committee work, particularly audit, investment, and risk? “Effective committee work comes down to preparation and participation. I always ensure I understand the data, consult the right experts, and contribute meaningfully. Our job is to connect the dots between operational detail and long-term strategy.”


⚖ CORPORATE RESTRUCTURING & TURNAROUND INSIGHT

You’ve led boards through times of disruption and reform. What have you learned? “Disruption can come from anywhere: regulatory change, economic pressure, or a flawed model. I’ve helped boards navigate volatility by bringing in directors with industry and financial depth, strengthening stakeholder relationships, and ensuring we’re guided by top-tier legal and compliance advice. Calm, clear decision-making restores confidence.”

What are some common board-level blind spots? “Boards can fall into the trap of entrepreneurial optimism, sold the dream without challenging the detail. Other recurring issues include poor financial reporting, weak receivables, lack of a liquidity plan, and failure to engage with financiers and unions. Blind spots thrive when boards avoid tough questions.”

How should boards manage risk and liquidity during economic uncertainty? “Resilience isn’t built in crisis, it’s built in preparation. High-quality boards stress-test assumptions, meticulously monitor cash flow, and embed scenario planning. Ironically, governance often slips in good times when complacency creeps in.”

What’s your take on Safe Harbour provisions and board accountability? “Safe Harbour is useful, but often misunderstood. It’s not a free pass. You need timely action, credible turnaround plans, and good governance. Directors must see it as a disciplined process, not a loophole.”


🤝 BOARD VALUE & STAKEHOLDER ALIGNMENT

What value do you aim to bring to boards beyond technical expertise? “While I enjoy the technical work, I thrive when spotting strategic opportunities. One example is a school board I sit on where we identified an underutilised asset and are in the process of  facilitating a sale to a community aged care provider. That single deal will hopefully deliver an intergenerational hub that will benefit both the community at large, the aged care operator, and will secure the sustainability of the school.”

How do you approach alignment across management, boards, and external partners? “It begins with trust. I meet stakeholders early, map shared objectives, and stress-test plans collaboratively. My background in insolvency taught me to build consensus even in conflict-heavy environments. People want clarity, empathy, and follow-through.”


🌱 COMMUNITY & LEGACY

What fuels your passion for aged care and education? “These sectors are personal. My grandfather’s poor experience in institutional care drove me to demand better. Later, as a liquidator, I witnessed neglect up close. That compelled me to drive reform. On the education front, I saw what strong schools can do for a child’s future. I’ve helped reposition Masada College and develop an intergenerational campus that blends learning with community care.”

What legacy do you hope to leave? “I want to be remembered for strengthening institutions, whether during crisis or growth. For mentoring others. For promoting cultures of accountability and excellence. And for helping boards act with purpose and courage when it mattered most.”


🔮 OUTLOOK: THE FUTURE OF GOVERNANCE

What trends are you watching in 2025 and beyond? “ESG and director accountability are under the microscope, and rightfully so. Boards will need greater digital fluency, ethical leadership, and long-term thinking. We’ll also see consolidation in sectors like aged care and education, which means governance must be both commercially sharp and mission-aligned.”

What types of board roles are you seeking next? “I’m drawn to boards that need strategic repositioning, face disruption, or have a deep community focus. I enjoy collaborating with people who are smart, purpose-led, and open to change.”
